These Terms of Service ("Terms") are a binding agreement between you and Androsov Vladimir IE (Individual Entrepreneur), registered in Georgia ("we", "our", "us"), the operator of MagicAds (the "Service"). By creating an account, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MagicAds is an AI-powered platform that generates advertising images, videos, and copy based on the prompts and inputs you provide. Generation relies on third-party AI models, and results are produced automatically. We may add, change, or remove features, models, and limits at any time.

2. Eligibility and Accounts

You must be at least 16 years old (or the age of majority in your jurisdiction if higher) and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us immediately of any unauthorized use.

3. Credits, Plans, and Billing

• Credits. Most features consume credits. Each generation triggers immediate, irreversible cost on third-party compute providers. Credits have no cash value and are not transferable.
• Subscriptions. Paid plans renew automatically each billing period until cancelled. You can cancel anytime from your dashboard; cancellation stops future renewals and takes effect at the end of the current period.
• Prices and taxes. Prices are shown at checkout and may change for future periods. You are responsible for any applicable taxes.
• Payment. Payments are handled by third-party processors. You authorize us and our processors to charge your selected payment method.

4. No Refunds

All sales are final. Credits and subscription payments are non-refundable, including unused credits, except where a refund is strictly required by mandatory applicable law. Because the Service delivers digital content immediately, you expressly request immediate performance and, where you are an EU/UK consumer, acknowledge that you lose any statutory right of withdrawal once the content is made available. Please review our Refund Policy before purchasing; free credits are provided so you can evaluate the Service first.

5. Acceptable Use

You agree not to use the Service to create, distribute, or facilitate any content or activity that:

• is illegal, infringes intellectual property, publicity, or privacy rights, or violates any applicable law or regulation;
• is deceptive, fraudulent, misleading, or designed to scam, phish, or impersonate any person, brand, or entity;
• depicts sexual content involving minors, or non-consensual, exploitative, or otherwise prohibited sexual content;
• promotes hate, harassment, violence, self-harm, or discrimination against protected groups;
• creates the likeness, voice, or identity of a real person without their rights or consent, or generates deepfakes used to deceive;
• advertises illegal goods or services, or content prohibited by the advertising platforms on which you intend to publish (including Meta, Google, TikTok, and others);
• contains malware, attempts to disrupt or reverse-engineer the Service, scrape it, bypass limits or security, or resell access without authorization.

You are solely responsible for your prompts, inputs, and how you use generated content, including compliance with the policies and laws governing any platform on which you publish it.

6. Your Content and AI Output

You retain ownership of the inputs you lawfully submit. Subject to your compliance with these Terms and the terms of the underlying AI providers, you may use the content you generate, including for commercial purposes. You grant us a limited license to process and store your inputs and outputs as necessary to operate the Service. You represent that you have all rights necessary to submit your inputs and that your use of outputs will not violate any law or third-party right.

7. AI Disclaimer

AI output is generated automatically and is probabilistic. It may be inaccurate, incomplete, biased, or similar to existing material, and it may not be unique or eligible for intellectual-property protection. We do not warrant that output is accurate, original, non-infringing, or fit for any particular purpose. You must review all generated content before use and are responsible for ensuring it is lawful and appropriate.

8. Our Intellectual Property

The Service, including its software, design, trademarks, and content (excluding your inputs and outputs), is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. No other rights are granted.

9. Third-Party Services

The Service integrates third-party providers (AI models, payment processors, infrastructure). Your use of those features may be subject to the providers' own terms, and we are not responsible for third-party services.

10. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately, without refund, if you breach these Terms, misuse the Service, create legal risk, or initiate a chargeback on a legitimate purchase. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or any law or third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of Georgia, without regard to conflict-of-law rules. The courts located in Georgia will have exclusive jurisdiction over any dispute, unless mandatory consumer-protection law grants you the right to bring proceedings in your country of residence. 15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where required, notified to you. Your continued use of the Service after changes take effect constitutes acceptance.
